# BROKER–CARRIER TRANSPORTATION AGREEMENT
**Savagelyfe LLC** (MC #1789416, USDOT #4123675), a Florida limited liability company ("Broker"), and the motor carrier identified below ("Carrier").
---
## 1. Parties & Authority
- **Broker:** Savagelyfe LLC, MC #1789416, USDOT #4123675
- **Carrier:** [Company name], MC #[number], USDOT #[number]
- Carrier represents it holds and will maintain active FMCSA operating authority, valid registration for the equipment used, and all licenses required for the freight hauled.
- Broker has verified Carrier's authority, safety-rating, and insurance prior to dispatch. Carrier shall notify Broker within 24 hours of any suspension, revocation, or downgrade.
## 2. Relationship of the Parties
Carrier is an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship. Neither party has authority to bind the other. This Agreement is non-exclusive.
## 3. Compensation — Rate Confirmations
Each shipment tendered by Broker and accepted by Carrier is governed by: (a) this Agreement, and (b) the individual **Rate Confirmation** issued for that load, which controls linehaul rate, accessorials, and payment terms for that load. Carrier's compensation for each load is the **carrier pay** stated on the Rate Confirmation, which is the full and total amount owed to Carrier for that load.
## 4. Payment Terms
- **Standard:** Net 30 days from Broker's receipt of the complete, signed Bill of Lading / Proof of Delivery and any required invoicing documents.
- **QuickPay:** Optional, by election on the Rate Confirmation — payment within 2 business days of POD for a 2% fee deducted from carrier pay.
- Payment method: ACH / Check / Comcheck as elected on the Rate Confirmation.
- Carrier may not invoice the shipper, consignee, or any third party for loads arranged through Broker. Broker's obligation to pay is not contingent on payment by the shipper, except in cases of shipper bankruptcy or documented fraud on the specific load, per 49 CFR § 371.3.
- Late payments accrue interest at 1.5% per month or the maximum allowed by law, whichever is less.
## 5. Insurance Requirements
Carrier shall maintain, at its own expense, for the term of this Agreement:
- **Automobile liability:** minimum $1,000,000 combined single limit
- **Cargo liability:** minimum $100,000
- **General liability:** minimum $1,000,000
- Workers' compensation as required by law
Certificates of insurance naming **Savagelyfe LLC as additional insured and certificate holder** (with 30 days' notice of cancellation) must be on file with Broker before first dispatch. Lapse of coverage suspends Carrier's eligibility for loads immediately.
## 6. Performance Standards
- Pickup and deliver within the times on the Rate Confirmation.
- Freight is **exclusive use** — no co-mingling, no re-loading, no unauthorized stops or re-routing without Broker's written consent.
- Carrier shall provide tracking and status updates (check calls) as reasonably requested by Broker, and shall cooperate with GPS/ELD tracking on Broker's loads.
- Carrier shall not subcontract, co-broker, interline, or otherwise re-broker any load in any manner without Broker's prior written consent. Violation is grounds for immediate termination and forfeiture of payment for the affected load.
## 7. Cargo Claims & Liability
- Carrier assumes full liability as a motor carrier under the Carmack Amendment (49 U.S.C. § 14706) for loss or damage from pickup through delivery.
- Claims must be filed with Carrier within 9 months of delivery; Carrier shall acknowledge within 30 days and pay/deny/offer within 120 days per 49 CFR Part 370.
- Broker's payment obligations are not reduced by claims pending against Carrier.
## 8. Detention, Lumper & Accessorials
Detention, layover, lumper, and other accessorials apply only if stated on the Rate Confirmation or approved in writing by Broker in advance. Unapproved accessorials are not payable.
## 9. Compliance
Carrier shall comply with all applicable FMCSA/DOT regulations, including hours-of-service and ELD mandates, and all federal, state, and local laws. Carrier certifies it does not have an "Unsatisfactory" safety rating and is not disqualified under 49 CFR Part 382 or 391.
## 10. Indemnification
Each party shall indemnify the other against third-party claims arising from its own negligence or willful misconduct. Carrier specifically indemnifies Broker for cargo loss/damage, personal injury, or property damage arising from Carrier's transport of freight.
## 11. Term & Termination
This Agreement begins on the effective date and continues until terminated by either party on 10 days' written notice. Termination does not affect loads in transit or payment obligations for completed loads.
## 12. Governing Law
This Agreement is governed by the laws of the State of **Florida**. Any dispute shall be resolved in the courts of Florida, or by binding arbitration under AAA commercial rules if the parties so agree in writing.
## 13. Entire Agreement
This Agreement and the applicable Rate Confirmations constitute the entire agreement for each load. Amendments must be in writing.
